Fund Administrator
The Fund Administrator, Stonehage Fund Administrators (Jersey) Limited, is a limited liability company incorporated under the laws of Jersey on 16 July 1999, with registered number 74614. The registered office of the Fund Administrator is at Sir Walter Raleigh House, 48-50 Esplanade, St Helier, Jersey, JE1 4HH, Channel Islands. The Fund Administrator has an issued and paid up share capital of £25,000. The Fund Administrator is effectively a wholly owned subsidiary of Stonehage Financial Services Holdings Limited. The Fund Administrator is a holder of a permit under Article 5 of CIF Law issued by the JFSC and is authorised by the JFSC to act as Fund Administrator to the Fund. The Stonehage Fund Administrators (Jersey) Limited is regulated by the Jersey Financial Services Commission for the conduct of investment business.
The Fund has delegated certain of its administrative functions to the Fund Administrator including, without limitation, the responsibility for:
(i) taking custody of all documents of title to the assets of the Fund (either itself or through its delegates) which are not in the possession or control of any lender;
(ii) calculating the net asset value attributable to the Participating Shares;
(iii) keeping and maintaining the register of shareholders of the Fund; and
(iv) Fund secretarial duties and other Fund related matters. The Fund Administrator is also responsible for monitoring compliance by the Manager with the investment and borrowing restrictions applicable to the Fund.
Further, the Fund Administrator will be providing corporate secretarial and administrative services to each SPV used to hold or acquire Property Investment(s) including, subject to local law requirements, the provision of directors and a secretary to those SPVs.
